General Rules

Lancaster Pride Association is committed to creating and maintaining an environment in which all individuals are treated with respect and dignity.

All Vendors are expected to be compliant with this Code of Conduct and act honestly and ethically at all times. Everyone will be treated, and is expected to treat others, with fairness, respect, and dignity.

DISCRIMINATION:

Lancaster Pride Association will not tolerate any form of discrimination or harassment based on race, religion, color, gender, gender presentation, sexual orientation, national origin, ancestry, marital status, age, veteran status, disability, physical appearance, medical condition, citizenship, genetic information, or any other minority or marginalized characteristic.

SEXUAL HARASSMENT:

Lancaster Pride Association will not tolerate any form of sexual harassment.  We encourage all vendors who becomes aware of, or are subjected to, any occurrences of sexual harassment to immediately report the occurrence to the Executive Committee.

ANTI BULLYING & VIOLENCE:

Lancaster Pride Association strictly prohibits bullying and violence, including any act of intimidation, threat, harassment, physical violence, verbal abuse, aggression or coercion against volunteers, employees, independent contractors, temporary workers, external consultants, and vendors, or the general public. We encourage all vendors who become aware of, or are subjected to, any occurrences of bullying or violence to immediately report the occurrence to the Executive Committee.

CONFIDENTIAL INFORMATION:

Vendors may not reveal specific communication between themselves and Lancaster Pride Association. This information includes, but not limited to trade secrets, financial information, access to pride resources, festival, and production information. 

MEDIA COMMUNICATIONS:

Lancaster Pride Association is dedicated to fostering a respectful dialog in all of our communications, especially on social media platforms, and with media organizations/representatives. We must remain vigilant of our communication and avoid damaging our reputation with members of the LGBTQ+ community, business community, Local, State, and Federal Governments, and the general Public.

Vendors may share content about Lancaster Pride Association on their personal social media platforms or those which they manage and/or administer. Use of Lancaster Pride Brand or Logo is prohibited unless previously approved by the Director of Marketing.

MISCONDUCT:

Any violation of breach of trust under these Terms and Conditions will result in immediate removal from all Lancaster Pride Association activities. If you are removed due to breaches in trust under this code of conduct you will not receive a full or partial refund of your registration fee.

TERMS

  1. GENERAL TERMS. Lancaster Pride Association does not provide the following items:
    1. Electricity/Electrical Hook Ups
    2. Tables
    3. Tents
  2. INDEMNIFICATION. The Vendor agrees to indemnify and hold harmless the Lancaster Pride Association from all clams, losses, expenses, fees, including attorney fees, costs, and judgements that may be asserted against the Lancaster Pride Association that result from the acts or omission of the Lancaster Pride Association, the Lancaster Pride Association’s members, if any, and the Lancaster Pride Association’s agents.
  3. PYROTECHNIC DEVICES. No pyrotechnic devices shall be used without the prior express written consent of both the Vendor and the Lancaster Pride Association. Any such device shall be subject to applicable fire laws and shall be administered by a person with professional experience in pyrotechnics. The Lancaster Pride Association shall be responsible for obtaining all applicable permits.
  4. FORCE MAJEURE. If performance of this Agreement or any obligation under this Agreement is prevented, restricted, or interfered with by causes beyond either party’s reasonable control (“Force Majeure”), and if the party unable to carry out its obligations give the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. 
    1. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrence, order or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lock-outs, work stoppages, other labor disputes, or supplier failures.
    2. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased.
    3. An actor or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or it’s employees, officers, agents, or affiliates.
  1. DISPUTE RESOLUTION.
    1. The Parties will attempt to resolve any dispute arising out of or relating to this Agreement through friendly negotiations amongst the parties. If the matter is not resolved by negotiations the parties will resolve the dispute using the below Alternative Dispute Resolution procedure
    2. Any controversies or disputes arising out of or relating to this Agreement will be submitted to meditation in accordance with any statutory rules of mediation. If mediation does not successfully resolve the dispute the parties may proceed to seek an alternative form of resolution in accordance with any other rights and remedies afforded to them by law.
  2. GOVERNING LAW. This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.
  3. ENTIRE CONTRACT. The Contract contains the entire Contract of the parties, and there are no other promises or conditions in any other contract whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the pirates.
  4. AMENDMENT. This contract may be modified or amended in writing, if the writing is signed by all parties obligated under the amendment
  5. INDEPENDENT CONTRACTORS. The Vendor acknowledges that it is an independent contractor and not an employee of the Lancaster Pride Association and shall be responsible for all taxes. Lancaster Pride Association shall control the times and division of the Performance, and Vendor shall control the manner, means, and details of such Performance.
  6. SEVERABILITY. If any provision of this Agreement or the application thereof is held invalid, the invalidity shall not affect other provisions or applications of this Agreement which can be given effect without the invalid provisions or application, and to this end the provisions of this Agreement are declared to be severable
  7. REPRESENTATIVE’S AUTHORITY TO CONTRACT. By registering to be a Vendor, you agree to this document. You also affirm you are the representative and/or agent of the Vendor and hereby represents you are duly authorized and that the Vendor agrees to be bound by the provisions of this Agreement. It is expressly understood and agreed that in acting hereunder solely in the capacity of representative or agent of Vendor, said person is not a party to this contract and shall not be liable or responsible in any way for the omissions of Vendor, nor for any failure by Vendor to adequately perform or comply with any term or condition hereof.
